Concept of Ethical management

Ethical management is a business activity where a corporate promotes sustainable growth based on the corporate decision-making and behavioral principle.
It covers from fulfillment of economic and legal responsibility and ethical criterion expected in social conventions.  


Meaning of ISC Ethical Management

All members of ISC is guided by ISC in its business management to create value for stakeholders, including customers and shareholders,
thereby playing pivotal roles in social and economic development and contributing to the happiness of the humankind.

To this end, the “Code of Ethics” and “Code of Conduct” were enacted to serve as a standard for behavior and value judgment in all business activities.
All ISC members strive to make ISC fair and transparent through the observance and practice of the Code of Ethics and the Code of Conduct for executives and
employees.

Third Party Code of Ethics

ISC establishes Code of Conduct for business partners to recognize them as ESG management partner and to create an ecosystem for shared growth.
This Code of Conduct states requirements for business partners to be observed as a partner for creating ESG ecosystem.
The business partner shall comply with this Code of Conduct and all applicable laws and regulations and shall operate the company ethically.
SKC or an external institution designated by ISC may visit the business partners to assess whether the business partners are complying with this Code of Conduct. In cases of violations, they may recommend improvement and request corrective measures.
The transaction may be suspended or rescinded when the material violation committed by the business partners are not improved within the requested period. If this Code of Conduct conflicts with the local regulations, a stricter standard shall be applied and may be changed appropriately when necessary.
This Code of Conduct is available at SKC or ISC websites, and any amendment is notified in the websites in advance. Body 1. Human Right/Labor The business partners shall guarantee human right and dignity of workers to prevent illegal discrimination for sex, age, nationality, race, religion, pregnancy, or political orientation. The workers also shall not be disadvantaged for discriminative elements in recruitment, promotion, wage, reward, or educational opportunity. All types of workers, including temporary worker, contract worker, dispatched worker, immigrant worker, regular worker, and other workers, shall be guaranteed lawful labor, wage, and right protection based on the local regulations. All labors shall be voluntary and shall not be forced. Provided, employment of minor under 15 shall be strictly prohibited regardless of voluntary labor.
Work hours shall not exceed the time and date regulated by the laws except for emergent situation and special cases. The workers shall be guaranteed of 52 hours of weekly work hours and at least off day every 7 days. The workers shall be granted the right to freely band with other workers and right not to participate in such activity.
2. Prohibition on Use of Conflict Minerals
The business partners and ISC shall cooperate together to prohibit the use of conflict minerals (from Congo or nearby countries), disclose information on place of origin pursuant to RBA* requests, and shall guarantee legal mining of minerals.
* RBA stands for Responsible Business Alliance, and it means a non-profit organization that consists of corporates that fulfill social responsibility to create sustainable values.
3. Environmental Protection The business partner shall acquire/maintain all environmental permissions required for corporate operation, comply with relevant rules and regulations, and make efforts to minimize and reduce environmental impact. The business partner shall be aware of environmental responsibility and shall systematically identify, manage, reduce, and dispose/recycle the harmful chemical substance, waste, and waste water.
The business partner shall reduce air pollutants and minimize energy consumption and greenhouse gas emission, establish the environmental management system, such as compliance with harmful substance regulation, and make efforts to reduce environmental pollution. The business partners shall separately manage substance information, indication, mark, labeling, etc., for safe handling, transportation, storage, and usage safety.
4. Ethical Management/Anti-Corruption The business partner shall be aware of importance of ethical management for sustainable management and shall strictly comply with regulations and company rules based on fair transaction.
All transactions shall be performed legally and ethically by securing ethicality and reliability. The business partners shall maintain the highest level of integrity and honesty in all transaction relationship.
Thus, the business partners shall not engage in any unethical acts, such as offering or accepting to promise, offer, or approve bribe, embezzlement, extortion, or other means.
This includes obtaining indirect unfair profits through third party and granting benefit to third party. In all transactions of goods, the business partners shall use the promised raw and subsidiary materials to supply the promised goods and shall not use or provide imitations.
The whistleblower who reported such an unethical act shall be taken an identity protection measure and shall be prohibited of retaliatory measure, such as discrimination and bullying.
The business partners shall safely protect intellectual property right, customer information, and personal information.
The business partners shall comply with all domestic and international trade embargo and sanctions.
5. Safety and Health
The business partners shall acquire and maintain all safety and health licenses necessary for corporate operation and shall comply with relevant rules and regulations.
The business partners shall guarantee safety and health of workers and remove all risk factors to establish a safe and healthy place of business.
The business partners shall establish response procedures and plans in preparation for emergency to minimize damage from emergency.
The business partners shall provide adequate individual protective gears to workers exposed to harmful or safety accidents and shall regularly inspect and evaluate the risk factors.
The business partners shall regularly conduct safety and risk evaluation and safety and health education to provide the worker of the information on accident risk and harmful factors.
6. Management System The business partners shall establish a management system, including human right/labor, environmental protection, ethical management, safety, and health, in managerial decision-making and business operation and shall continuously manage to fulfill following matters :

3) Response and Monitoring on Regulations and Customer Demands
4) Risk Management (Environment, Safety and Health, Labor, Ethics)
5) Objective Management and Evaluation
6) Corrective Measure Process Operation
7) Executive and Employee Feedback and Participation
8) Education and Training Program Operation



Third Party Code of Ethics

1. Compliance with Business Regulation 
All works shall be fulfilled based on relevant regulations and procedures, and materials related to decision-making shall comply with in-service period and shall not be lost, damaged, or concealed without notice. The documents related to decision-making also shall comply with arbitrary decision regulation and other management regulations.
2. Signing Contract
The agreements and contracts shall be signed within the scope of entrusted authority. All contracts shall be signed by preparing a legal written contract (including electronic contract) based on company rules, procedures, and related regulations. 
All contracts shall include matters agreed between the contracting parties, and outcome of contract shall be recorded and stored in an appropriate method. 
 
3. Ethical Management/Anti-Corruption  ISC shall strictly comply with all regulations and relevant company rules based on fair trade with business partners. ISC shall also comply with legal and ethical transaction by securing ethicality and reliability. 
ISC shall not provide or receive any bribe or rebate regarding the work and shall comply with UN Anti-Corruption Convention and anti-corruption related regulations of each country. 
Conventional gift and entertainment may be necessary for communication between business partners. Provided, gift and entertainment shall be in ordinary level. If they go beyond the conventional level, affect the decision-making, or may affect the decision-making, they may be recognized as accepting bribe. Thus, they shall be rejected or refused.
Gift and entertainment includes financial profit, such as money and valuables, and non-monetary advantage, such as providing convenience. 
4. Fair Trade 
The sound market competition order shall be observed and all kinds of concerted action, such as price and output adjustment and bidding, which may limit the competition, shall be prohibited.
The price shall be independently decided based on cost analysis and overall market situation. The fairness of source shall be proved by documenting the disclosed materials. 
5. Business Partner 
The business partners of ISC shall be granted a right to make an independent business decision on purchase, sales, pricing, and transacting party. An attempt to interrupt such autonomous decision may violate the Fair Trade Act. 
The transaction relationship shall disapprove any unfair competition method, deceptive act, or deceptive custom and shall guarantee mutual interest with the business partners under the transparent trade conditions. All transaction opportunity shall be granted equally, and all transactions shall be processed fairly on an equal footing. 
6. Mutual Cooperation 
ISC and business partners shall mutually respect and care each other based on mutual cooperation and shall expand technical and managerial support to pursue competitiveness strengthening and development mutually.
ISC shall grant an equal transaction opportunity to business partners, shall not use superior position for unfair act, and shall pursue mutual interest and joint development. 
ISC also shall minimize mutual risks based on risk assessment by using ESG management index in compliance with international guideline. 
7. Environment
ISC shall make efforts to comply with environmental regulation conditions and shall purchase based on Environment Act and environmental policy to make active measures for environmental preservation.
8. Eco-Friendly Purchase 
ISC shall develop and supply eco-friendly products, materials, and services to minimize the environmental influence in all processes of product design, manufacturing, distribution, use, and disposal.
ISC shall also set goals to expand eco-friendly technologies, including development and use of reused, recycled, greenhouse gas reduction goods and minimum use of harmful substance.
9. Prohibition on Use of Conflict Minerals
ISC shall prohibit the use of conflict minerals (from Congo or nearby countries). The conflict minerals may be purchased only when place of origin information is proved and minerals are mined legally pursuant to RBA* requests.
